Terms of service
United States · Maryland. Working draft — have a licensed attorney review before commercial launch.
Quick summary (not a substitute for the full terms below): You are registering of your own free will, for your own personal interest. The Service is provided “as is” — 57Million LLC accepts no responsibility for how you use the information you receive, or for any outcome resulting from that use. Disputes are handled in Maryland courts or arbitration. You can opt out of arbitration within 30 days of first signing in.
0. Personal, voluntary use — you assume all risk
Splntr is a public hobby project operated by 57Million LLC (also referred to in these Terms as the “Company,” “we,” or “us”). By signing up, you acknowledge and agree that:
- You register voluntarily, for your own personal interest. Nothing on the Service is offered as a professional engagement, employer-employee relationship, fiduciary duty, contractor relationship, partnership, or joint venture between you and 57Million LLC
- The Service is a personal-finance helper, not financial advice. Splntr records what you and your group members enter, computes who owes whom, and surfaces optional AI-generated extras (receipt OCR, attractions, destination suggestions). It is not tax, legal, accounting, investment, or financial advice. Don’t use a balance shown in Splntr as evidence in a dispute, claim, or filing — export the underlying receipts and verify with a licensed professional first.
- AI output may be wrong. Receipt-OCR, attractions, destination suggestions, and any other AI feature relies on third-party large language models. They can mis-read a receipt total, hallucinate an attraction, or surface a closed venue. You are solely responsible for verifying any AI-derived value before acting on it.
- You assume all risk arising from your use of the Service. Including, without limitation: business losses, data loss, downtime, missed deadlines, damaged hardware, professional or reputational harm, regulatory penalties, contract breaches, employer disciplinary action, or any direct, indirect, incidental, special, consequential, or punitive damages. 57Million LLC is not legally responsible for any such outcome to the maximum extent permitted by applicable law.
- No professional relationship is created. Using Splntr to track shared expenses does not create an accountant-client, financial-advisor-client, attorney-client, or fiduciary relationship of any kind between you and 57Million LLC
- Third-party services compliance is your responsibility. If you use a payment app to actually settle the balances Splntr computes (Venmo, Zelle, UPI, GPay, PayPal, etc.), that transfer is governed by the payment provider’s own agreement. Disputes, refunds, fraud, and compliance with those services sit with you and the provider, not with 57Million LLC
- Acceptance is captured at signup. The signup form requires you to tick a checkbox confirming you have read and agree to be bound by these Terms and the Privacy Policy. We record the timestamp and IP of that acceptance in our audit log as the durable record of your consent.
If any of the above is unacceptable to you, do not register and do not use the Service.
1. Acceptance
These Terms form a binding agreement between you and 57Million LLC (“Company,” “we,” or “us”). By accessing or using the Splntr website at splntrapp.com and related services (collectively, the “Service”), you agree to these Terms. If you do not agree, do not use the Service.
2. Eligibility
The Service is offered for personal, adult use. Age eligibility varies by your place of residence to match the local data-protection framework:
- United States: you must be at least 13 years old (COPPA baseline). If you are between 13 and 18, use the Service only with the involvement of a parent or legal guardian.
- European Union, EEA, United Kingdom: you must be at least 16 years old (or the higher digital-consent age set by your Member State under GDPR Art. 8(1) — some countries set 13, 14, or 15). Users below the local age must have verifiable parental consent.
- India: we do not process the personal data of anyone we know to be under 18 without verifiable parental consent, per Digital Personal Data Protection Act 2023 §9. See Privacy §8.5.
- Elsewhere: you must be at least 13 and above your local “age of majority” for entering a binding contract without a guardian’s consent.
If you are using the Service on behalf of an organization you represent that you have authority to bind it to these Terms. By creating an account you confirm you meet the age threshold for your region.
3. Your account
- You are responsible for keeping your sign-in credentials secure and for all activity under your account.
- Report suspected unauthorized access to [email protected].
- You may delete your account at any time by emailing [email protected].
4. Acceptable use
Do not use the Service to:
- Violate any applicable law or the rights of others.
- Upload malicious code, attempt to breach security controls, or probe for vulnerabilities outside the scope of our security policy.
- Violate the Computer Fraud and Abuse Act (18 U.S.C. § 1030) or any state analog (e.g., Maryland’s unauthorized-access statute, Md. Code, Crim. Law § 7-302).
- Scrape, harvest, or mass-download content without permission.
- Impersonate another person or misrepresent your affiliation with any organization.
- Submit unlawful, infringing, harassing, or defamatory content, or content that invades another person’s privacy.
- Use the Service for any purpose prohibited by US export-control laws (including the Export Administration Regulations and OFAC sanctions programs).
4a. Prohibited content & conduct — zero tolerance
In addition to § 4, the following uses of the Service are categorically prohibited. They are grounds for immediate suspension or termination of your account, retention of forensic logs, and — where the law requires — reporting to the relevant authorities.
- Child sexual abuse material (CSAM) and child exploitation. Any content that sexualises, exploits, or endangers a minor, including generated, altered, drawn, or fictional depictions. 57Million LLC is obligated under 18 U.S.C. § 2258A to report suspected CSAM to the National Center for Missing & Exploited Children (NCMEC) CyberTipline and to preserve related records under 18 U.S.C. § 2258A(h). We will cooperate with law-enforcement requests.
- Weapons & mass-harm instructions.Instructions, blueprints, precursor sourcing, or operational planning for firearms conversions (auto-sears, Glock switches, drop-in auto sears), untraceable / ghost guns, explosives (pipe bombs, IEDs, TATP, ANFO), chemical agents, biological agents, or radiological / nuclear devices.
- Targeted violence & terrorism. Planning, coordinating, inciting, celebrating, or providing material support for violence against a specific person, identifiable group, event, or venue. “Swatting,” stalking, and coordinated harassment campaigns are included.
- Self-harm method coaching. Dosing, technique, or encouragement directed at the user’s or another person’s suicide or serious self-injury. Educational discussion of mental health with appropriate resources is not prohibited.
- Controlled-substance synthesis. Clandestine manufacturing steps, precursor sourcing, or counterfeit-pill pressing for any Schedule I / II substance, fentanyl analog, methamphetamine, or related compound.
- Unauthorised malware & intrusion.Ransomware, credential stealers, info stealers, stalkerware, rootkits, RATs, botnet operation, or exploit code directed at systems you do not own or are not explicitly authorised to test. Legitimate authorised penetration testing and CTF work is not prohibited but must remain lawful.
- Non-consensual intimate imagery (sometimes called “revenge porn”), synthetic sexual imagery of real people without their consent (including “deepfakes”), and content that violates state NCII statutes (e.g. Md. Code, Crim. Law § 3-809).
- Hate, harassment, and dehumanising content.Content that targets, threatens, or dehumanises a person or group based on race, ethnicity, national origin, religion, sex, gender identity, sexual orientation, disability, or immigration status.
- Fraud, scams, and impersonation. Phishing kits, social-engineering scripts for identity theft, fake identification documents, tax / benefits fraud, romance scams, and impersonation of real people or organisations for deceptive purposes.
- Privacy-invading content. Doxxing, non-consensual surveillance instructions, or unlawful collection of personal information about a third party.
- Election-integrity interference. False instructions on when / where / how to vote, forged official communications, or synthetic media impersonating public officials for deception.
- Circumvention attempts. Jailbreak prompts, repeated attempts to evade content filters, chaining prompts to extract prohibited output, or re-packaging outputs for distribution in violation of this section.
Violating § 4a may result in immediate termination under § 12, retention of relevant records for legal-hold purposes, and, where CSAM is implicated, mandatory NCMEC reporting and preservation under 18 U.S.C. § 2258A.
4b. AI-assisted features — acceptable use
Splntr offers AI-assisted features (search answers and the writing-helper tasks in the top search pill). By using them you acknowledge:
- Outputs are not professional advice. The “Legal suggestion,” “Tax related,” “Medical & health,” and “Finance related” tasks produce general information only. Each reply carries a mandatory disclaimer directing you to a licensed professional. Do not rely on AI output for medical diagnosis, prescription, legal advice, tax filing decisions, or investment decisions.
- Outputs may be wrong. AI answers can be inaccurate, incomplete, or out of date. You are responsible for verifying anything you act on.
- Do not submit third-party personal data through the writing helpers without a lawful basis and, where required, the subject’s consent.
- You agree not to use AI outputs to produce content in violation of § 4 or § 4a, to train a competing model, or to circumvent Anthropic’s own acceptable-use policies.
4c. Content moderation
To enforce § 4 and § 4a, 57Million LLC operates a layered moderation pipeline:
- Input pre-screen. Every prompt sent to the AI features is scanned for categorical red-flag content (CSAM, weapons-synthesis, targeted violence, self-harm method coaching, malware, controlled-substance synthesis) before it reaches the model. Blocked prompts receive a categorical refusal and are logged with category + input length (not the raw text) for abuse review.
- Model-layer refusals. The underlying AI model applies its own safety policy and will refuse additional categories even when the route-level screen passes.
- Human review on escalation. Repeated or egregious violations may be reviewed by 57Million LLC staff under a strict need-to-know basis for the sole purpose of enforcing these Terms, investigating abuse, or complying with a lawful request.
- Appeal. If you believe a moderation decision was in error, write to [email protected] with the date, time (UTC), and a description of what you were trying to do. We aim to respond within 10 business days.
4d. Purchase Inbox — forwarded email processing
The optional Purchase Inbox feature (see also Privacy §3.5) lets you forward or auto-forward third-party order-confirmation emails (from services such as Swiggy, Zomato, DoorDash, Uber Eats, Grubhub, and Deliveroo) to a dedicated Splntr ingest address so we can extract a structured receipt on your behalf. If you use it, you agree that:
- You have the right to forward the message. You represent that you are a recipient of the original email (or otherwise authorised to process it) and that forwarding it to Splntr does not violate any confidentiality obligation, workplace policy, or third-party terms of service.
- Do not forward messages containing third-party personal data — for example, another person’s delivery address or phone number — unless you have that person’s consent or another lawful basis under applicable data-protection law.
- Do not forward promotional emails, phishing lures, malicious attachments, or content prohibited by §4a. The ingest pipeline discards attachments and applies the same content-safety screening as the rest of the Service; abuse may result in the loss of the Purchase Inbox feature and, in serious cases, account termination.
- Parsed output may be wrong. The extraction layer uses aggregator-specific heuristics; totals, tips, and line items can be misread when a merchant changes its email template. You are responsible for reviewing the extracted row before assigning it to a group. See §4b (AI outputs) and §8 (warranty disclaimer).
- You can disable the feature at any time by removing the forwarding rule at your email provider and deleting the ingest address from Account → Purchase Inbox. Pending unassigned rows and raw email bodies are purged on disable.
4e. Referral program
Splntr offers a friend-referral feature that credits both parties with additional Splntr Plus time (currently one month of Splntr Plus per successful referral for both the referrer and the person who signs up through the link). The program terms below apply in addition to §4 and §4a.
- Nature of the program. Referral credits are a member-get-member service credit, not a sweepstakes, lottery, or contest. There is no chance element: the referred person must actually create a Splntr account under your link and reach the qualifying condition; both parties then receive the credit as an automatic consequence, not a random draw. No purchase or payment is required from either party to qualify.
- Prohibited conduct. Do not (a) create fake Splntr accounts to self-refer, (b) buy, sell, trade, or publicly post referral links for compensation, (c) refer people who have not agreed to be referred, or (d) misrepresent Splntr or its features in your referral message. Suspected abuse voids the credits and may terminate the account (§12).
- Credit value + tax. A referral credit is not cash and cannot be redeemed for cash, transferred to another account, or combined with any promotional discount unless expressly permitted. Because credits carry a de minimis service value (≈ USD $2.50 per month of Plus), we do not issue tax forms for referrals; you are responsible for any reporting your local tax authority requires.
- Changes + discontinuation. We may modify the credit amount, qualifying conditions, or discontinue the program at any time on notice via the Account page. Credits already earned before a change are honoured on the terms in force when they were earned.
- Where prohibited. The program is void where prohibited by law. If your jurisdiction treats a member-get-member service-credit programme as a regulated promotion, you may not participate.
5. Intellectual property
Any third-party trademarks that may appear on the Service — currency codes, payment-app names referenced in placeholder examples (Venmo, Zelle, GPay, UPI, PayPal, etc.), and the OpenStreetMap brand used in the trip-planner map — are the property of their respective owners. Their appearance is nominative fair use; Splntr is not affiliated with, endorsed by, or connected to any of them.
5.1 Splntr name, logo, and brand assets
The names “Splntr” and “57Million LLC”, the Splntr logo (the rounded blue tile containing a white “V” and sparkle mark), any stylized wordmarks or combination marks incorporating them, and the Splntr color palette and visual identity (collectively, the “Brand Assets”) are the exclusive property of 57Million LLC, protected under U.S. and international copyright and trademark law. All rights reserved, including rights under Title 17 of the U.S. Code and the Lanham Act (15 U.S.C. § 1051 et seq.).
The Brand Assets are not licensed under the MIT License that covers the source code. Nothing in these Terms, and nothing in the source-code license, grants you any right, title, or interest in or to the Brand Assets by implication, estoppel, or otherwise.
You may:
- Use the name “Splntr” in plain text to refer to this Service (descriptive nominative use) — e.g. in news articles, reviews, blog posts, academic references.
- Display an unmodified Splntr logo to link back to our Service from your site, provided the link is not misleading and you do not imply sponsorship, endorsement, or affiliation.
You may not, without our prior written consent:
- Reproduce, alter, recolor, rotate, distort, animate, or incorporate the logo into another design or mark.
- Use the Brand Assets as part of your own product name, service name, domain name, username, social-media handle, or company name.
- Sell, sublicense, or include the Brand Assets in merchandise.
- Suggest — through visual proximity, co-branding, or otherwise — that 57Million LLC sponsors, endorses, or is affiliated with your work.
Brand-asset requests (press kit, partnership marks, co-branding) may be sent to [email protected]. We aim to respond within 10 business days.
5.2 Fonts, colors, and bundled assets
To avoid any third-party licensing ambiguity, the Service:
- Ships no proprietary font files. All text renders in the visitor’s operating-system UI font, selected via the standard CSS keywords
-apple-systemandBlinkMacSystemFontwith a generic fallback stack (Segoe UI,Roboto, Helvetica, Arial,sans-serif). No Google Fonts or paid webfont service is loaded; no font file is transferred with the page. - Uses an original color palette. Brand blues (
#155dfcCTA,#1352c0link,#2264ff → #0a3ab8logo gradient) and neutrals (#18181bink,#71717aink-muted) were selected for WCAG 2.1 AA contrast and are not copied from any identifiable third-party brand identity. - Uses custom SVG icons and logo. Every icon in the account menu, auth forms, and the Splntr logo itself is drawn by 57Million LLC. No external icon library (Font Awesome, Lucide, Material Icons, Heroicons, etc.) is imported.
6. DMCA copyright policy
We respect the rights of copyright holders. If you believe content made available through the Service infringes a copyright you own or control, please follow the procedure on our DMCA page. Notices that do not include the statutory elements (17 U.S.C. § 512(c)(3)) may not be actionable. Repeat infringers have their accounts terminated.
7. Third-party content
The Service embeds content from third parties (for example YouTube’s privacy-enhanced embed at youtube-nocookie.com). Your use of that content is also governed by the third party’s terms. Under 47 U.S.C. § 230 we are not the publisher or speaker of any such third-party content.
7a. Phone Link (device-to-device)
Phone Link pairs your phone’s browser with the desktop session over an end-to-end-encrypted WebRTC channel. See Privacy § 6a for the data minimization details. Your use of the feature is subject to the additional rules below.
7a.1 You are responsible for what you send
Because Phone Link is peer-to-peer, 57Million LLC has no ability to read, scan, filter, or preserve clipboard text, files, or camera frames you transmit through it. You — as the person initiating the pairing and the person on the other end — are solely responsible for the content that crosses the channel.
7a.2 Prohibited uses
You may not use Phone Link to:
- Transmit content that violates § 4 (Acceptable use) above — including, but not limited to, child sexual abuse material (CSAM), non-consensual intimate imagery, content infringing someone else’s copyright, malware, or content subject to U.S. export-control or sanctions programs.
- Pair with a device that is not yours or on which the owner has not consented to a paired session.
- Circumvent, reverse-engineer, or abuse the pairing-code rate-limiting to probe for active sessions.
7a.3 Termination of the peer session
Pairing codes expire after 5 minutes of idle time or 30 minutes of absolute age, whichever comes first. Either party may terminate the session at any moment by closing the tab or tapping the close button.
7a.4 No warranty on delivery
WebRTC connectivity depends on network conditions (NATs, firewalls, carrier-grade NAT, VPNs). We do not guarantee that a pair session will establish or remain stable for any particular duration. Failed or dropped transfers are your responsibility to retry.
7a. Admin two-factor authentication
Accounts with the administrator role are contractually obliged to enrol in two-factor authentication before exercising any admin capability (user-list access, audit viewing). By accepting the admin role, you agree that:
- You will enrol one of: an authenticator app (TOTP), a recovery email address, or a real mobile carrier number. Virtual, forwarded, or VoIP numbers (including Google Voice) are not accepted and any attempt to register one will be rejected at enrolment.
- You will not share your TOTP secret, recovery email, or SMS device with anyone. Revealing those factors is treated the same as sharing your password.
- You will re-verify 2FA as prompted (every 4 hours of active use). Failing to do so terminates access to admin pages until verification completes.
- Losing access to your 2FA factor means losing admin access until a different account owner resets it; 57Million LLC does not offer over-the-phone admin-account recovery.
7b. Live trip location sharing
Members of a trip / vacation group can opt in to Share my live location. While the toggle is on, the device pushes the member’s GPS coordinates to the server every ~30 seconds and the other group members can see the position on the trip-planner map. Additional rules:
- Sharing is opt-in per member and only works while the Splntr tab is in the foreground (the web platform pauses GPS in the background).
- Locations are visible only to other members of the same group. 57Million LLC does not surface them elsewhere and does not sell, share, or use them for advertising.
- Stale rows (no update for 7 days) are deleted automatically by a daily cron.
- You may revoke sharing at any time by toggling the switch off, revoking the browser’s location permission for splntrapp.com, or closing the tab. The next pruning pass removes the row.
8. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND — EXPRESS, IMPLIED, OR STATUTORY — INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, 57MILLION LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL; OR FOR ANY AMOUNT EXCEEDING THE GREATER OF (a) THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR (b) US $100. Some jurisdictions do not allow the exclusion or limitation of certain damages, so these limits may not apply to you to the extent prohibited by your local law.
10. Indemnification
You agree to defend, indemnify, and hold harmless 57Million LLC and its officers, employees, and agents from any claim, damage, or expense (including reasonable attorneys’ fees) arising from your breach of these Terms, your violation of applicable law, or your content submitted to the Service.
10a. Paid subscriptions — Splntr Plus
The core Service is free to use. Splntr Plus is an optional paid tier. If you upgrade, the following terms apply in addition to the rest of these Terms.
- Regional pricing tiers. Splntr Plus is offered at different prices in different regions to reflect local purchasing power. As of the “Last updated” date above, published tiers include a US/EU tier (see /pricing for the current amount) and a India tier billed in INR. Region is determined at checkout from the payment method’s billing country; the price you see at the checkout screen is the price you pay for that billing cycle.
- India tier scan cap. The INR tier includes up to 200 AI receipt scans per rolling 30-day window. This cap exists to protect the per-user margin on the reduced price and is disclosed at /pricing and /upgrade before checkout. The US/EU tier is not capped. During any published launch-promo window the cap is suspended.
- Taxes. Displayed prices are exclusive of applicable sales tax, VAT, GST, or similar taxes unless the checkout screen shows otherwise. Where we are required to collect tax, it will be added to your bill at the applicable rate.
- Billing and auto-renewal. Splntr Plus renews automatically at the end of each billing cycle (monthly or annual, as chosen at checkout) at the then-current published price for your region. You may cancel at any time from Account; cancellation takes effect at the end of the current paid period and you keep Plus features until then. We will notify you by email at least 7 days before any price increase applied to your subscription.
- 14-day money-back guarantee. If you are dissatisfied with Splntr Plus for any reason, you may request a full refund by emailing [email protected] within 14 days of the initial charge for a given billing cycle. Refunds are issued to the original payment method within 10 business days. Refunds outside the 14-day window are at our sole discretion.
- EU/UK statutory withdrawal. If you are a consumer in the EU, EEA, or UK, you have a statutory right of withdrawal under Directive 2011/83/EU (or the UK equivalent) for 14 days from the day the subscription contract is concluded. By clicking “Subscribe” and gaining immediate access to Splntr Plus, you expressly consent to the immediate performance of the service and acknowledge that your right of withdrawal is lost as soon as the service has been fully performed (Art. 16(a)). The 14-day money-back guarantee above is offered in addition to this statutory right.
- Failed payments. If a scheduled renewal fails, Plus features are paused until the next successful payment. We may retry the charge up to three times over seven days before cancelling the subscription. Data you created while on the Free tier remains accessible; Plus-only exports may be re-enabled retroactively on reactivation.
- Payment processor. Card payments are processed by Stripe, Inc. under Stripe’s own terms and privacy notice. We never see or store your full card number.
11. Changes to the Service or Terms
We may update the Service and these Terms from time to time. For material changes we will post notice or request renewed consent on your next sign-in.
12. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you materially breach these Terms or violate applicable law.
13. Governing law & venue
These Terms are governed by the laws of the State of Maryland, without regard to its conflict of laws rules, and by applicable federal law of the United States. Subject to § 14, any action or dispute not resolved in arbitration shall be brought exclusively in the state or federal courts located in Maryland, and you consent to the personal jurisdiction of those courts.
Mandatory local consumer protections. If you are a consumer resident in the European Union, the European Economic Area, the United Kingdom, or another jurisdiction whose local law grants you consumer rights that cannot be waived by contract, nothing in this §13 or §14 removes the benefit of those rights, and you may bring a claim in the courts of your place of residence to the extent local law requires. Similarly, residents of India retain any rights available under the Consumer Protection Act, 2019 and the Digital Personal Data Protection Act, 2023 that cannot be waived, including the grievance-redressal path described in Privacy §8.5.
14. Dispute resolution — arbitration & class waiver
Please read this section carefully — it affects your rights.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in Maryland or remotely. Judgment on the award may be entered in any court of competent jurisdiction.
Class-action waiver. You and we agree that disputes will be brought only in an individual capacity and not as part of a class, consolidated, or representative action.
Opt out. You may opt out of this arbitration clause within 30 days of first accepting these Terms by emailing [email protected] with “Arbitration opt-out” in the subject line and your name, email, and signup date in the body. Opt-outs are irrevocable.
Small claims. Either party may bring an individual action in small-claims court in Maryland instead of arbitration.
14a. Corporate group disputes
When multiple users participate in a Splntr Corporate group (see /corporate) — typically an employer with employees or contractors — three distinct dispute lanes may arise. This section clarifies which lane applies.
- Employer ↔ employee reimbursement disputes. When a manager approves or rejects a reimbursement request inside a Corporate group, the underlying obligation to pay (or not pay) that expense arises from the parties’ own employment, contractor, or expense-policy agreement — not from Splntr. 57Million LLC provides the tooling for the decision to be recorded and communicated; we are not a party to the reimbursement, we do not adjudicate the merits, and we do not guarantee any outcome of that internal decision. Disputes between employer and employee about a specific approval or rejection must be resolved between those parties under their own agreement.
- Disputes with 57Million LLC (the Service). Any dispute that is with 57Million LLC — for example, an allegation that the Corporate group tooling malfunctioned, that data was lost, or that a Plus-tier feature did not perform as described — is subject to the same binding individual arbitration in §14, including the class-action waiver and the 30-day opt-out, unless local law makes that clause unenforceable for business-to-business claims in your jurisdiction.
- Non-arbitrable jurisdictions. Some jurisdictions restrict mandatory pre-dispute arbitration in B2B contracts (for example, certain EU Member States impose consumer-style limits on small enterprises under Directive 93/13/EEC extensions, and India’s Arbitration & Conciliation Act 1996 requires an express written arbitration agreement). Where local law makes §14 unenforceable against you as a business user, disputes with 57Million LLC instead proceed in the courts of Maryland under §13, subject to the mandatory-local-consumer-protections carve-out in §13.
15. Severability
If any provision of these Terms is held unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force.
16. Entire agreement
These Terms, together with the Privacy Policy, the DMCA policy, and the Accessibility statement, constitute the entire agreement between you and us regarding the Service.
17. Contact
